9. Fees and Payment Terms
- Fees: The fees for our services will be outlined in a separate agreement or proposal.
- Payment Terms: Invoices are due upon receipt unless otherwise specified. Late payments may result in penalties and immediate suspension of services.
- Expenses: Any additional expenses incurred will be pre-approved by the Client and invoiced accordingly.
10. Intellectual Property Rights
- Ownership: All intellectual property rights in materials provided by the Client remain with the Client. Materials created by Blackbird SEO during the provision of services will be owned by the Company until full payment is received, at which point ownership will transfer to the Client.
- License: The Client grants Blackbird SEO a limited, non-exclusive license to use Client materials solely for the purpose of providing the services.
11. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the services. This obligation will survive the termination of these Terms.
12. Disclaimer of Warranties
Our services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Blackbird SEO expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Blackbird SEO does not warrant that: (a) our services will meet your specific requirements or expectations; (b) our services will achieve any particular search engine rankings, traffic levels, or business results; (c) our services will be uninterrupted, timely, secure, or error-free; or (d) any results obtained through our services will be accurate or reliable. SEO and digital marketing outcomes are influenced by numerous factors outside our control, including search engine algorithm changes, market conditions, and competitor activity. No guarantee of specific results is made or implied.
13. Limitation of Liability
To the fullest extent permitted by law, Blackbird SEO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use our services;
- Any unauthorized access to or use of our servers and/or any personal information stored therein;
- Any interruption or cessation of transmission to or from our services.
14. Indemnification
The Client agrees to indemnify and hold harmless Blackbird SEO, its affiliates, and their respective officers, agents, partners, and employees, from and against any losses, liabilities, claims, demands, damages, expenses, or costs arising out of or related to:
- The Client’s use of our services;
- The Client’s violation of these Terms;
- The Client’s violation of any rights of another party.
15. Term and Termination
- Term: These Terms commence on the date services begin and continue until terminated by either party.
- Termination for Breach: Either party may terminate the services with written notice if the other party breaches any material term of these Terms and fails to remedy the breach within 14 days of receiving notice.
- Termination for Convenience: Either party may terminate the services for any reason or no reason by providing at least 30 days’ written notice to the other party. Upon termination for convenience, the Client shall remain responsible for payment of all fees for services rendered up to and including the effective termination date.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
17. Dispute Resolution
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming.
18. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions. The severed provision shall be replaced with a valid provision that most closely reflects the intent of the original.
19. Amendments
Blackbird SEO reserves the right to amend these Terms at any time. Any changes will be posted on our website, and continued use of our services constitutes acceptance of the amended Terms.
20. Entire Agreement
